Terms of service

1. Services

VinReach provides dealer-remarketing automation — inventory ingestion, visitor identity resolution, journey orchestration, and personalized email + SMS delivery. You retain ownership of the customer data you upload, the inventory VINs we process on your behalf, and the content of your brand voice profile.

2. Account + authorized use

• You are responsible for the security of your account credentials and the actions of any team member added to the workspace.
• You represent that every person you add to a journey has given you appropriate consent for the channels used (email, SMS).
• You will not use the service for spam, unlawful communications, or content unrelated to dealer remarketing.

3. Fees + billing

• Subscription fee + metered delivery usage bill on a monthly cycle via Stripe.
• Founding-dealer rate is grandfathered for the life of the account as long as payment stays current.
• Overdue invoices beyond 15 days pause outbound dispatch. Beyond 60 days we may terminate for non-payment.
• Taxes — you are responsible for any applicable sales / use tax.

4. Data processing

VinReach acts as your data processor under applicable privacy law (CPRA, CAN-SPAM, TCPA). Processing terms are in the DPA, which is incorporated here by reference and binding as of your account creation date.

5. Deliverability + reputation

On managed delivery we operate the sending infrastructure (SPF, DKIM, DMARC, IP warmup, complaint loops). On bring-your-own ESP you own domain reputation; we operate the send pipeline above it.

We reserve the right to throttle or pause sends that risk our platform reputation (spam traps, bounce floods, complaint spikes). Notice sent to the account owner before any throttle.

6. Acceptable use

• No non-automotive marketing.
• No messaging to persons whose consent you cannot document.
• No attempts to bypass our rate limits, extract tenant data other than yours, or reverse-engineer the service.
• No competitive research use — the service is for operating a remarketing program, not benchmarking against us.

7. Intellectual property

• VinReach retains all rights to the platform, the tracker, the models, and the templates.
• You retain all rights to your customer data, inventory records, and brand assets.
• Message content generated by the AI is yours to use in your dealer communications and retain post-termination.

8. Termination

• Either party may terminate for convenience with 30 days' notice.
• You may pause or cancel in two clicks from /settings/billing.
• Upon termination, VinReach provides a one-time CSV export of your contact, conversation, and journey data within 15 business days, then deletes all tenant rows within 60 days. Opt-out history is retained indefinitely (regulatory requirement).

9. Warranties + disclaimers

THE SERVICE IS PROVIDED AS-IS. VINREACH DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE FULLEST EXTENT ALLOWED BY LAW. We stand behind uptime + deliverability commitments as defined in the DPA SLA addendum.

10. Limitation of liability

EXCEPT FOR BREACHES OF THE DPA CONFIDENTIALITY TERMS OR INDEMNIFICATION OBLIGATIONS, LIABILITY TO EITHER PARTY IS CAPPED AT THE FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

11. Indemnification

You indemnify VinReach against claims arising from (a) your misuse of the service, (b) content you send that violates law, and (c) your breach of the consent reps above. VinReach indemnifies you against third-party claims that the platform, as provided, infringes a patent, copyright, or trade secret.

12. Governing law

Governing law + venue are specified in the countersigned order form at onboarding. Informal negotiation required before any filing.

13. Changes

Material changes to these terms posted here with 30 days' notice. Continued use after the effective date constitutes acceptance.
